1. Definitions

• Company – Empower LLC, a company registered in Georgia, with its registered address at: Tbilisi, Mtatsminda district, Vasil Barnov I alley №8, apartment No. 5a, identification number (ID): 404734169.
• Application – the mobile application owned and operated by the Company, enabling Users to access and use the Services.
• User – an individual or legal entity (or its duly authorized representative) who downloads the Application to a mobile device, registers within the Application, and thereby expresses consent to use the Application and acceptance of this Agreement.
• Service – any functionality, information, and/or service made available to the User through the Application.
• Account – the User's individual account created upon registration in the Application, through which the User accesses the Services.
• Agreement – these Terms and Conditions governing the relationship between the Company and the User in connection with the use of the Application.

2. Subject Matter of the Agreement

2.1. This Agreement governs the legal relationship between Empower LLC (hereinafter – the "Company") and the User in connection with the use of the Company's mobile application.

2.2. The subject matter of this Agreement is to define the terms and conditions under which the User may access and use the Application and the Services made available therein.

2.3. By downloading, registering, and using the Application, the User confirms that they have read, understood, and fully accepted the terms of this Agreement.

2.4. The Company reserves the right to amend or update this Agreement at any time. Any changes shall become effective upon publication within the Application, unless otherwise stated.

3. Rights and Obligations of the User

3.1. The User has the right to:

• access and use the Application and Services in accordance with this Agreement;
• receive information related to Services, pricing, and functionality;
• discontinue the use of the Application at any time.

3.2. The User undertakes to:

• provide accurate, complete, and up-to-date information during registration;
• comply with applicable laws and the provisions of this Agreement;
• refrain from using the Application for unlawful, fraudulent, or rights-infringing purposes;
• ensure the confidentiality of their Account credentials.

3.3. The User shall be solely responsible for all activities carried out through their Account.

4. Rights and Obligations of the Company

4.1. The Company has the right to:

• modify, suspend, or discontinue the Application or any part of the Services for technical, legal, or operational reasons;
• temporarily or permanently restrict the User's access to the Application in case of violation of this Agreement;
• collect and process User data in accordance with the Privacy Policy.

4.2. The Company undertakes to:

• ensure the operation of the Application within reasonable technical standards;
• protect the User's personal data in accordance with applicable laws;
• inform Users about material changes affecting the use of the Application or Services.

5. Limitation of Obligations and Liabilities

5.1. The Application and Services are provided on an "as is" basis.

5.2. The Company shall not be liable for:

• temporary unavailability of the Application due to technical issues;
• services provided by third parties or damages arising therefrom;
• consequences resulting from improper or unauthorized use of the Application by the User.

5.3. To the maximum extent permitted by law, the Company's liability shall be limited to direct damages caused by the Company's intentional misconduct or gross negligence.

6. General Provisions

6.1. This Agreement shall be governed by and construed in accordance with the laws of Georgia.

6.2. Any dispute arising out of or in connection with this Agreement shall be subject to the jurisdiction of the competent courts of Georgia.

6.3. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

6.4. This Agreement constitutes the entire agreement between the Company and the User regarding the subject matter hereof and supersedes all prior agreements or understandings.
